These Terms are available in Italian (official and binding version), English, French, German, Spanish, Portuguese and Chinese. In case of discrepancy between versions, the Italian version shall prevail.

Personal data. All matters relating to the processing of personal data (data collected, purposes, legal bases, retention periods, recipients and rights) are governed exclusively by the Privacy Policy, which is the reference document. These Terms refer to it whenever such matters are addressed.

1. Owner and scope of application

The website www.spapperi.com (the "Site") is operated by SPAPPERI NT S.r.l., Via Pietro Ercolani 5/B, 06012 Città di Castello (PG), Italy, VAT number and Tax Code IT03467460543, REA PG-291249, share capital € 310,000.00 fully paid up, tel. +39 075 85 78 156, PEC (certified e-mail) spapperint@pec.it, e-mail info@spapperi.com ("Spapperi" or "the Company").

These Terms govern access to and use of the Site and of all the services described in art. 2. Use of the Site implies acceptance of the Terms: anyone who does not accept them is invited not to use it.

2. Services offered

The Site is institutional and informational in nature and does not carry out online sales: prices, availability and configurations are purely indicative and do not constitute a contractual offer. Through the Site, Spapperi makes available:

• the catalogue of new machines (lines, series, configurations, equipment and accessories) and of used machines, with downloadable technical data sheets;
• photo galleries, 360° views and three-dimensional models of the machines;
• agronomic information on the products (art. 4.3) and search by crop;
• the description of technical and commercial services (spare parts, technical assistance, academy, engineering, consultancy);
• Gaia, a virtual assistant based on artificial intelligence (art. 4.4);
• the requirements form for quote requests (art. 4.5);
• the contact, dealer request, videocall booking, technical assistance and job application forms, and newsletter subscription (art. 5);
• the Customer Reserved Area (art. 6).

The content is intended primarily for a professional audience; the protections of Legislative Decree 206/2005 (Italian Consumer Code) apply only to users who fall within the definition of consumer.

3. Intellectual property

3.1 Ownership

The texts, technical data sheets, drawings, three-dimensional models, images, videos, logos, trademarks, graphics and code of the Site are the property of Spapperi NT S.r.l. or are used under licence, and are protected by Italian and European copyright and industrial property law (Law 633/1941 and Legislative Decree 30/2005). The SPAPPERI trademark may not be used without written authorisation.

3.2 Permitted use

The user may consult the content and use the services described in art. 2 exclusively for the purposes for which they are offered: obtaining information about Spapperi products and services, submitting requests through the forms, subscribing to the newsletter, interacting with the virtual assistant and, if enabled, accessing the Reserved Area. This authorisation is limited, non-exclusive, non-transferable and revocable.

3.3 Prohibited uses

Without Spapperi's written authorisation, it is prohibited to: reproduce or commercially exploit the content of the Site; extract it in bulk by means of spiders, scrapers or other automated tools; use it to train artificial intelligence systems; decompile the Site or attempt to extract its code; remove copyright or trademark notices; use the Site in violation of the law or of the rights of third parties.

4. Informational content

4.1 Technical data sheets and specifications

Technical data sheets, measurements, performance data and configurations are provided for information purposes and may not reflect product updates in real time. Spapperi may modify features, models and configurations at any time and is not liable for purchase decisions based solely on the data published on the Site.

4.2 Three-dimensional models and 360° views

The three-dimensional models and 360° views are for illustrative purposes only. They do not constitute official technical documentation and may not be used for design, production or certification purposes: dimensions, proportions and details may differ from the actual product.

4.3 Agronomic information

The agronomic information published on the Site (for example types of transplanting, types of plants, planting patterns and spacing) and that provided by the virtual assistant describe the performance of the products and are intended as general guidance. Spapperi is not an agronomic consultant: agronomic choices must be made on the basis of local soil, climate and crop conditions, under the responsibility of the operator or of a qualified agronomist.

4.4 Gaia virtual assistant: artificial intelligence

Gaia is not a person. It is an artificial intelligence system: whoever writes in the chat is interacting with a computer program, not with an employee or operator of Spapperi.

The replies are generated automatically and may contain errors, inaccuracies or outdated information. They do not constitute professional advice, an offer, a quotation or a binding commitment on the part of the Company: only the official information provided by Spapperi and the signed contractual documents are authoritative. For binding information, please contact Spapperi directly.

Users are asked not to enter personal or confidential data in the chat. The processing of data provided through the assistant, including the technology provider used, is described in the Privacy Policy.

4.5 Requirements form and quote requests

The requirements form allows users to submit the characteristics of their crop, soil and tractor in order to receive a quote. Submission does not constitute an order or a contract and does not bind Spapperi to any supply: it is a request for a quotation, which Spapperi may follow up with a separate proposal. The user is responsible for the accuracy of the data entered; configurations are subject to technical verification. Submission requires acceptance of the Privacy Policy (mandatory checkbox); consent to marketing communications is optional (separate checkbox).

5. Site forms

All forms are protected by an automatic anti-abuse check. In each form, acceptance of the Privacy Policy is mandatory (dedicated checkbox) and consent to marketing communications is optional (separate checkbox), except as provided for the newsletter in art. 5.6. The data collected, the purposes and the retention periods for each form are set out in the Privacy Policy. No form is suitable for entering into contracts or confirming orders.

5.1 Contact form

Allows users to send requests for information, quotations or commercial support, indicating whether they are writing as a company or as a private individual. Privacy checkbox mandatory; marketing checkbox optional. For the data processed, please refer to the Privacy Policy.

5.2 Dealer request

Allows users to apply to become a Spapperi dealer or agent; requests are assessed by the sales team. Privacy checkbox mandatory; marketing checkbox optional. For the data processed, please refer to the Privacy Policy.

5.3 Videocall booking

Allows users to request a videocall with a Spapperi specialist, indicating their preferred date and time. The request does not constitute confirmation of the appointment: Spapperi will contact the user to confirm it. Privacy checkbox mandatory; marketing checkbox optional. 5.4 Technical assistance

Allows users to report a problem with a Spapperi machine, including by attaching photographs. Privacy checkbox mandatory; marketing checkbox optional. For the data processed and the retention periods, please refer to the Privacy Policy.

5.5 Job applications

Applications, whether spontaneous or for an open position, are submitted from the Work with us page, attaching a curriculum vitae. Privacy checkbox mandatory; marketing checkbox optional. Applications and the related attachments are retained for 6 months from receipt and then automatically deleted; for details and for the exercise of rights, please refer to the Privacy Policy.

5.6 Newsletter

The newsletter is addressed to anyone interested in receiving updates on Spapperi products, events and news. Subscription requires first name, last name, e-mail address and telephone number, acceptance of the Privacy Policy (mandatory checkbox) and consent to marketing communications (mandatory checkbox for this service, since the newsletter is itself a promotional communication). The subscription becomes active only after confirmation via the link sent by e-mail. Users may unsubscribe at any time via the link included in every e-mail or by writing to info@spapperi.com.

5.7 User obligations

By completing a form, the user warrants that they are providing truthful and up-to-date data, that they are entitled to do so, and that they will not submit unlawful or offensive content or content that infringes the rights of third parties, nor use the forms for spam or other abuse. Spapperi may decline to act on requests that appear fraudulent or abusive.

6. Customer Reserved Area

6.1 Access and content

The Reserved Area is an authentication-protected section. Access credentials are issued directly by Spapperi, at its discretion, exclusively to trusted customers of its sales network (dealers, agents, importers): self-registration is not available.

The Reserved Area allows users to consult and download the commercial catalogues that Spapperi assigns to the individual customer. It does not contain certifications, price lists or official contractual or technical documentation.

6.2 Credentials

Credentials are personal, associated with a single customer and may not be transferred to third parties, not even within the same organisation, without Spapperi's written authorisation. The user must keep the password safe, change it in the event of suspected compromise (using the reset function) and immediately report any unauthorised access to info@spapperi.com. Spapperi will never ask for the password by telephone, e-mail or chat. The user is responsible for the activities carried out with their credentials.

6.3 Confidentiality of documents

The documents in the Reserved Area are intended solely for the customer to whom they are assigned: it is prohibited to disclose, reproduce or share them with third parties without Spapperi's written authorisation. Access to documents is logged for security purposes, as described in the Privacy Policy.

6.4 Suspension and revocation

Spapperi may suspend or revoke access at any time, in particular in the event of a breach of these Terms, termination of the commercial relationship or suspected unauthorised use of the credentials.

7. Site availability and limitation of liability

The Site is provided "as is" and may be temporarily unavailable due to maintenance, technical failures, updates or force majeure. To the extent permitted by law, Spapperi is not liable for: damages arising from the use of or inability to use the Site; errors or omissions in the technical and agronomic information, which is indicative in nature; replies of the virtual assistant; content of third-party sites; failure to receive automatic e-mails due to problems with e-mail providers; access to the Reserved Area resulting from negligent safeguarding of credentials. The user shall indemnify Spapperi against any claims arising from use of the Site in breach of these Terms or of the law.

8. Third-party links and services

The Site may contain links to or content from third parties (for example YouTube videos, which are loaded only if the user starts playback, and social media profiles). Spapperi does not control such services and is not responsible for their content or practices; their use is governed by their respective terms and privacy notices.

9. Privacy and cookies

The processing of personal data is governed by the Privacy Policy; the use of cookies and similar tools is described in the Cookie Policy. Both documents prevail over these Terms as regards personal data.

10. User conduct

It is prohibited to: transmit viruses or malicious code; attempt unauthorised access to the Site, to the Reserved Area or to other users' data; carry out scraping or automated data collection; intentionally overload the infrastructure; disseminate unlawful or harmful content through the forms or the chat; impersonate other persons. Violations may be reported to the competent authorities.

11. Amendments to the Terms

Spapperi may amend these Terms at any time. Amendments take effect upon publication, as indicated by the "Last updated" date; material changes will be communicated by e-mail to Reserved Area customers with at least 15 days' notice. Continued use of the Site constitutes acceptance of the updated Terms.

12. Applicable law and competent court

These Terms are governed by Italian law. For any dispute, the parties shall first attempt an amicable settlement; failing this, within 30 days of written notification, the Court of Perugia (Tribunale di Perugia) shall have exclusive jurisdiction, without prejudice to the mandatory jurisdiction of the consumer's court where applicable. The invalidity of any clause shall not affect the remaining clauses.
